Every Sakura Shares property token is grounded in a clear, secure legal framework that protects you, the investor. Here’s how it works.

Legal Structure: The SPV Framework

  1. Property Ownership: Each property is held by a Special Purpose Vehicle (SPV) registered in Japan. This SPV is a legal entity that owns and manages the property.
  2. Token Issuance: The SPV issues digital tokens representing fractional ownership. These tokens are securely recorded on the XRP Ledger.
  3. Investor Rights: Token holders have legal, beneficial rights to rental income and potential capital gains, proportional to their shareholding.

Your Rights as a Token Holder

  • ✅ Receive monthly rental income
  • ✅ View transparent expense and income reports
  • ✅ Sell or transfer tokens on approved platforms (where available)
  • ✅ Vote on key property management decisions (select properties)
  • ✅ Access legal documentation and financial statements

Governance & Dispute Resolution

Each SPV is governed by clear operating agreements. Disputes between token holders, or between holders and managers, are resolved via Japanese arbitration processes or as otherwise defined in the governing documents.

Compliance & Oversight

  • All investors must pass KYC/AML verification.
  • SPVs are registered and compliant with Japanese law.
  • Rental income, taxes, and expenses are reported quarterly.
  • We work with licensed legal and accounting partners in Japan and abroad.
